for the first question, M approached D providing an opportunities to work in his company(AH), which is an invitation to treat.then D requested several additional terms. M accepted and provided an offer. in turn, D accepted the offer given by M. here both of the parties were legally capable of contracting. Besides, they were serious and had intention to create a legal relation. So the contract was concluded and valid.
M wrote a letter to D that stated to change the terms in the contracted, which was previously agreed by both parties. therefore, it was unlawful for M to change the terms in the contract and there is a breach of contract.
In this situation, D can sue M breach of contract and claim losses.
