We’re authorized to have verified the official receipt of the registered capital recorded for anapplication for establishment of your company (planned) as of November 9th,2007. It is the responsibility of all the shareholders and your company (planned)to provide authenticated, lawful and complete verification materials in anattempt to protect security and integrity of the asset when capital subscriptionsare made to comply with laws and regulations, the agreement and the charter. We’reresponsible for comments on the official receipt of the registered capital fromyour company (planned) after verification is carried out in accordance with ChinaRegistered Accountants Auditing Standards No. 1602-Capital Verification. Duringthe verification, we’ve implemented such examinations as required in the verificationprocedures by taking into account the real situation of your company (planned).
As provided in the agreement and the charter, the shareholders shall pay RMB1000, 000, 00 yuan foran application for the registration of your company (planned) in twoinstallments no later than November 9th, 2009. The capital subscriptionsare the initial ones with the amount of RMB200, 000. 00 yuan and shall be made bythe shareholder called Yekai before November 9th, 2007. According to the verification, your company(planned) had received a total of RMB200, 000. 00 yuan (Say RMB TWO HUNDREDTHOUSAND YUAN ONLY) as the registered capital (officially received capital) paidin currency by Ykai for the first time as of November 9th, 2007. For the secondcapital subscription, Yekai and Luxue shall pay RMB600, 000. 00 yuan and RMB200,000. 00 yuan respectively.
