The tooling / equipment listed is wholly owned by Buyer and shall be used by Seller only for purposes of performing this Agreement.This tooling should not be modified in any way unless authorized in writing by Buyer and must be kept free of any liens.This tooling / equipment is to be clearly identified by Seller as the property of Buyer and properly maintained at Seller’s expense in a manner that does not degrade its usefulness.Seller is to monitor the condition of the tooling / equipment and provide sufficient notice to Buyer when the tooling / equipment needs replacement.Seller assumes the risk of loss and damage to the tooling / equipment while it is in Seller’s possession or under Seller’s control.Seller agrees to cooperate with Buyer in filing any documents necessary to evidence Buyer’s ownership and to indemnify Buyer of any liability arising out of Seller’s use of Buyer’s equipment and tooling.Seller agrees to return all Buyer-owned property upon request in the same condition as received,normal wear and tear excluded.SELLER WAIVES ANY RIGHT IT MAY HAVE IN LAW OR EQUITY TO WITHHOLD BUYER’S PROPERTY.
