Damages Suffered by Third Parties in Consequence of Breach.The Supplier acknowledges that it has been informedby OBS that the Mobile Units and the Services are to be used directly andindirectly in various projects related to OBS’ position as Host Broadcaster ofthe Games and that OBS is obligated to various third parties through agreementsin connection therewith (the “Third Party Agreements”).OBS mustaccomplish certain phases of production and broadcasting by specified dates andbroadcast the Events of the Games in accordance with various Third-PartyAgreements or it will be subject to claims for damages,penalties and loss ofprofits,the extent and amount of which are incapable of reasonably accuratevaluation as of the date hereof.OBS is relying on the Supplier to provide theServices and the Mobile Units and Supplier Personnel required for deliveringthe Services,all in accordance with this Agreement.Accordingly,the Supplier herebyindemnifies and holds each of OBS,Olympic Broadcasting Services S.A.and theOlympic Authorities harmless from and against any actions,claims,losses,liabilities,costs (including legal costs),proceedings,and expenses that OBS,Olympic Broadcasting Services S.A.and each of the Olympic Authorities maysuffer due to a breach of its/their obligations under the Third PartyAgreements arising from any breach or non-performance of this Agreement by the Supplier.
